Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Astrionix websites and products, including VOSS FM, AfroCineVerse, and the VOSS AI Receptionist (together, the “Services”), provided by Astrionix (“Astrionix”, “we”, “us”). By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & accounts

You must be capable of forming a binding contract to use the Services. You are responsible for your account, for keeping credentials secure, and for all activity under your account. Provide accurate information and keep it current.

2. Acceptable use

You agree not to, and not to permit others to:

• Use the Services unlawfully, or to infringe, defame, harass, or violate the rights of others.
• Upload or generate content that is illegal, harmful, hateful, sexually exploitative, or that impersonates a real person without authorization.
• Attempt to disrupt, reverse engineer, probe, or gain unauthorized access to the Services or their security.
• Misrepresent AI-generated media as authentic where doing so would deceive or harm, or remove required AI-disclosure where applicable.
• Use the Services to send spam, or to publish or distribute content without the rights or consents required.
• Circumvent operator approval controls or usage limits, or use the Services to enable automated publishing that the Services intentionally require a human to perform.

3. Intellectual property

The Services, including software, models, interfaces, designs, trademarks (including “Astrionix”, “VOSS FM”, “AfroCineVerse”, and “VOSS AI Receptionist”), and all related intellectual property, are owned by Astrionix or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. No rights are granted except as expressly stated.

4. User content

You retain ownership of content you upload or provide (“User Content”). You grant Astrionix a worldwide, non-exclusive license to host, store, process, transmit, and display User Content solely as needed to operate and provide the Services to you. You represent that you have the rights and permissions necessary for your User Content and that it does not violate these Terms or the rights of others. You are responsible for your User Content and for maintaining your own backups.

5. AI-generated content

• The Services can generate media and text (“AI Output”) from your inputs. As between you and Astrionix, and subject to third-party model terms and applicable law, you may use AI Output you create through the Services for your permitted purposes.
• AI Output may be inaccurate, may resemble existing works, and may not be eligible for certain protections. You are responsible for reviewing AI Output before use and for ensuring your use is lawful and non-infringing.
• Publishing is human-operated. The Services do not auto-publish, auto-stream, or post to third-party platforms on your behalf; an operator must review and approve any release.
• You must not use AI features to create deceptive impersonations, unlawful deepfakes, or content that violates Section 2.

6. Third-party services

The Services may integrate third-party providers (for example, AI model, hosting, analytics, and delivery providers). Your use of third-party services may be subject to their terms, and Astrionix is not responsible for third-party services.

7. Service availability

The Services are provided on an “as available” basis. We may modify, suspend, or discontinue features, and perform maintenance, at any time. We do not guarantee uninterrupted or error-free operation, and some products are provided as previews or in Alpha and may change or be withdrawn.

8. Disclaimers

The Services and all content and AI Output are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. Astrionix does not warrant that the Services or AI Output will meet your requirements or be reliable, accurate, or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Astrionix and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Services. To the maximum extent permitted by law, Astrionix’s total aggregate liability for all claims relating to the Services will not exceed the greater of the amount you paid to Astrionix for the Services in the twelve months before the claim, or one hundred US dollars (US$100).

10. Indemnification

You agree to indemnify and hold harmless Astrionix from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, or your violation of these Terms or of any law or third-party right.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure, or if we discontinue the Services. Upon termination, your license to use the Services ends; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

12. Changes to the Services or Terms

We may update these Terms from time to time. We will revise the “Last updated” date and, for material changes, provide additional notice where appropriate. Your continued use after an update constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, and you agree to the exclusive jurisdiction of the courts located there, unless a different governing law and venue are required by applicable mandatory law. (Astrionix should confirm the governing jurisdiction and venue with its counsel; this field is intended to be finalized on incorporation details.)

14. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Astrionix regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset transfer.
